“PROVINCE OF ONTARIO, By the Honourable Robert Welch, Provincial Secretary and Minister of Citizenship

TO ALL TO WHOM THESE PRESENTS SHALL COME GREETING

WHEREAS The Corporations Act provides that with the exceptions therein mentioned the Lieutenant Governor may in his discretion, by Letters Patent, issue a Charter to any number of persons, not fewer than three, of twenty-one or more years of age, who apply therefor, constituting them and any others who become shareholders or members of the corporation thereby created a corporation for any of the objects to which the authority of the Legislature extends;

AND WHEREAS by the said Act it is further provided that the Provincial Secretary may in his discretion and under the Seal of his office have, use, exercise and enjoy any power, right or authority conferred by the said Act on the Lieutenant Governor;

AND WHEREAS it has been made to appear that the said persons have complied with the conditions precedent to the issue of the desired Charter and that the said undertaking is within the scope of the said Act;

AND WHEREAS by The Department of the Provincial Secretary and Citizenship Act, 1960=61 it is provided that the Provincial Secretary and Minister of Citizenship may exercise the powers that were conferred on the Provincial Secretary at the time the said Act came into force;

NOW THEREFORE KNOW YE that under the authority of the hereinbefore in part recited Acts I DO BY THESE LETTERS PATENT issue a Charter to the Persons here-inafter named that is to say: Stephen Walter Ireland, of the Village of Chippawa, in the County of Welland and Province of Ontario, Student; Michael Douglas Sheppard, of the City of Kitchener, in the County of Waterloo and Province of Ontario, Student; and David Roy Witty, of the City of Guelph, in the County of Wellington and Province of Ontario, Student; constituting them and any  others who become members of the Corporation hereby created a corporation without share capital under the name of

FEDERATION OF STUDENTS, UNIVERSITY OF WATERLOO

For the following objects, that is to say:

To promote the welfare and interests of the Students of the University of Waterloo in all matters respecting their common interests, and, subject to the provisions of An Act respecting The University of Waterloo, Chapter 140, Statutes of Ontario, 1959, as to heretofore and hereafter amended from time to time:

  1. To act as the representative of the students, both undergraduate and graduate, of The University of Waterloo, in the City of Waterloo, in the said County of Waterloo, including, without limiting the generality of the foregoing, those students of various constituent faculties, schools, institutes, departments and colleges, both affiliated and federated, which are or may be from time to time a part of or associated with The University of Waterloo;
     
  2. To promote and maintain responsible student government;
     
  3. To administer the affairs of the members of the Corporation, including, without limiting the generality of the foregoing, the receipt and administration of all funds which may accrue to the Corporation from subscriptions collected and remitted by The University of Waterloo and such other funds as may become the property of the Corporation by donation, gift, return, legacy, bequest or in any manner whatsoever;
     
  4. To promote and co-ordinate student participation in athletic, cultural and social activities;
     
  5. To promote and maintain communication between the student body and the duly elected and appointed authorities of The University of Waterloo;
     
  6. To encourage and promote inter-university co-operation and communication;
     
  7. To initiate, sponsor and promote activities in which the interest of the member students at The University of Waterloo are involved, including, without limiting the generality of the foregoing and for the objects aforesaid, the granting of loans to students who may be members from time to time of the said Corporation;
     
  8. To promote and assist in maintaining good conduct and proper discipline of the said member students of The University of Waterloo in all activities of such students;
     
  9. To sell and publish books, papers, journals, reports, periodicals and printed material generally; and
     
  10.  To enter into agreements with The University of Waterloo with respect to the carrying out of any or all of the objects aforesaid;

    PROVIDED, however, that it shall not be lawful for the Corporation hereby incorporated directly or indirectly to transact or undertake any business within the meaning of The Loan and Trust Corporations Act;

THE HEAD OFFICE of the Corporation to be situate at the City of Waterloo, in the said County of Waterloo; and

THE FIRST DIRECTORS of the Corporation to be Stephen Walter Ireland, Michael Douglas Sheppard and David Roy Witty, hereinbefore mentioned;

AND IT IS HEREBY ORDAINED AND DECLARED that the Corporation shall be carried on without the purpose of gain for its members and any profits or other accretions to the Corporation shall be used in promoting its objects.

GIVEN under my hand and Seal of office at the City of Toronto in the said Province of Ontario this twenty-seventh day of April in the year of Our Lord one thousand nine hundred and sixty-seven.

AMENDMENT TO THE CHARTER OF THE FEDERATION OF STUDENTS, UNIVERSITY OF WATERLOO

“PROVINCE OF ONTARIO, by the Honourable Frank Drea, Minister of Consumer and Commercial Relations

WHEREAS The Corporations Act provides that the Lieutenant Governor may in his discretion issue  Supplementary Letters Patent to any Corporation that applies therefor amending or otherwise altering or modifying its Letters Patent or prior Supplementary Letters Patent;

AND WHEREAS by the said Act it is further provided that the member of the Executive Council to whom the administration of this Act is assigned may in his discretion and under the Seal of his office have, use, excercise and enjoy any power, right or authority conferred by the said Act on the Lieutenant Governor;

AND WHEREAS it has been made to appear that the Corporation herein named has complied with the conditions precedent to the issue of the desired Supplementary Letters Patent;

NOW THEREFORE KNOW YE that, being the member of the Executive Council to whom the administration of this Act is assigned,

I DO BY THESE SUPPLEMENTARY LETTERS PATENT TO

FEDERATION OF STUDENTS, UNIVERSITY OF WATERLOO

Incorporated by Letters Patent dated the twenty-seventh day of April, 1967

VARY the objects of the Corporation by deleting from the Letters Patent of Incorporation of the Corporation, sub-clause “1.” of the objects and substituting therefor the following:

  1. TO act as the representative of the undergraduate students of the University of Waterloo, in the City of Waterloo, in the Regional Municipality of Waterloo, including, without limiting the generality of the foregoing, those students of various constituent faculties, schools, institutes, departments and colleges, both affiliated and federated, which are or may be from time to time a part of or associated with The University of Waterloo.

GIVEN under my hand and Seal of office at the City of Toronto in the said Province of Ontario this sizteenth day of July one thousand nine hundred and eighty.
